Terms of Service

These Terms constitute a legally binding agreement between you and AG360 Technologies Ltd.. By creating an account or using the Service, you confirm that you are at least 18 years of age and have the authority to enter into this agreement.

AG360 is a comprehensive farm management platform for grain farmers. The Service includes web and mobile tools for grain marketing, field mapping, inventory tracking, agronomy, equipment management, financial reporting, labour management, AI-assisted farm advisory features (Lily), and the Connect360 agricultural worker network. Features and modules may be added, modified, or discontinued at any time.

You are responsible for: • Maintaining the confidentiality of your account credentials • All activity that occurs under your account • Ensuring that invited team members comply with these Terms • The accuracy of data you enter into the platform You must notify us immediately at mike@ag360.farm if you suspect unauthorized access to your account.

You agree not to: • Use the Service for any unlawful purpose • Attempt to gain unauthorized access to other accounts or systems • Upload malicious code, viruses, or harmful content • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service or any part thereof • Copy, reproduce, screenshot, record, or capture the Service's user interface, design, layout, workflows, or visual elements for the purpose of building a competing product or service • Scrape, crawl, index, or systematically extract data from the Service using automated tools • Use the Service for competitive analysis, benchmarking against a competing product, or any purpose that directly or indirectly benefits a competing service • Resell, sublicense, or redistribute access to the Service without written permission • Remove, alter, or obscure any copyright, trademark, or proprietary notices displayed within the Service

All content, software, code, algorithms, user interface designs, page layouts, visual elements, icons, graphics, data models, AI prompts, training data, and documentation comprising the Service are the exclusive intellectual property of AG360 Technologies Ltd. and are protected by Canadian and international copyright, trademark, and intellectual property laws. The AG360 name, logo, Lily, Connect360, Grain360, and all related marks are trademarks of AG360 Technologies Ltd.. You may not use these marks without prior written consent. No part of the Service may be reproduced, distributed, modified, displayed, performed, published, or transmitted without the prior written consent of AG360 Technologies Ltd.. Your use of the Service does not grant you any ownership rights in the Service or its intellectual property. We reserve all rights not expressly granted to you under these Terms.

You retain full ownership of all farm data, records, and content you enter into AG360. We do not claim ownership of your data. You grant us a limited license to process and store your data solely for the purpose of providing the Service. You can export or delete your data at any time. See our Privacy Policy for details on data retention.

AG360 offers tiered subscription plans billed monthly or annually in Canadian Dollars (CAD). All plans include a 30-day free trial. After the trial period, your selected payment method will be charged automatically. Current pricing is displayed at checkout and within Settings → Billing. You may cancel your subscription at any time through the Stripe customer portal accessible from Settings → Billing. Upon cancellation, you retain access until the end of your current billing period. No refunds are issued for partial billing periods. We reserve the right to adjust pricing with 30 days' written notice. Your continued use after a price change constitutes acceptance of the new pricing.

The Lily AI Advisor and all AI agents within AG360 provide general agricultural guidance and operational insights based on the information you provide and publicly available data. AI-generated recommendations, market commentary, basis alerts, spray timing suggestions, and all other outputs are for informational purposes only and do not constitute professional agronomic, financial, legal, or investment advice. Always verify AI-generated recommendations with a qualified professional before making any decisions or taking any action.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components. Agricultural decisions involve significant risk. AG360 does not guarantee crop outcomes, marketing results, financial returns, or the accuracy of any data, recommendations, market prices, basis levels, weather forecasts, or AI-generated content provided through the Service.

To the maximum extent permitted by applicable law, AG360 Technologies Ltd., its founders, directors, officers, employees, contractors, partners, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of, or inability to use, the Service. This includes but is not limited to: • Loss of profits, revenue, or anticipated savings • Crop losses, yield reductions, or agronomic outcomes • Equipment damage or depreciation • Losses arising from grain marketing decisions, contract timing, basis movements, or commodity price changes • Losses arising from reliance on AI-generated recommendations, market intelligence, spray timing, or any other platform output • Data loss, corruption, or unauthorized access • Actions taken or not taken based on any information provided by the Service • Business interruption or operational disruption • Any third-party claims against you You acknowledge that AG360 is a data management and decision-support tool and that all operational, agronomic, financial, and marketing decisions remain solely your responsibility. AG360 provides information and tools — not advice, guarantees, or professional services. Our total aggregate liability to you for any and all claims arising from or related to the Service shall not exceed the lesser of (a) the amount you paid us in the 12 months preceding the claim, or (b) one hundred Canadian dollars (CAD $100.00). This limitation of liability applies regardless of the legal theory on which the claim is based, including breach of contract, tort (including negligence), strict liability, or any other basis, even if AG360 has been advised of the possibility of such damages.

By using AG360, you acknowledge and accept that farming and agricultural operations involve inherent risks including but not limited to weather events, market volatility, pest and disease pressure, equipment failure, regulatory changes, and labour disruptions. AG360 does not assume, mitigate, or transfer any of these risks through the provision of the Service. You agree to indemnify, defend, and hold harmless AG360 Technologies Ltd., its founders, directors, officers, employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any dispute between you and a third party arising from your use of the Service; or (e) any content or data you submit to the Service.

You may cancel your subscription at any time through Settings → Billing. To request full account deletion including all farm data, contact mike@ag360.farm. We reserve the right to suspend or terminate your account if you violate these Terms or engage in activity that threatens the integrity of the Service. Upon termination, your right to use the Service ceases immediately. Your data will be retained for 30 days following termination to allow for data export, after which it will be permanently deleted unless required by law.

These Terms are governed by the laws of the Province of Saskatchewan and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Saskatchewan.
